Equity Variables Test
I. Services Agreed
A. Evaluation of Equity Variables Test
C. Commitment and Obligation. The User completing the Test is under no obligation for continued services. If the User opts to participate in the Equity Factors Assessment and Referral service, The Equity Consortium offers $100 off the cost for up to six (6) months after completing the Equity Variables Test.
II. Compensation
The Equity Variables Test is offered at no charge, cost, or obligation of future services to the User completing the Test.
III. Relationship of Parties
The Consortium shall continue to be an independent, contracted entity, and is not authorized as, nor shall be deemed to be an employee, agent, partner, joint venturer, or representative of User. Neither party has the authority to bind the other or to incur any liability on behalf of the other, nor to direct the employees of the other.
The Equity Variables Test (documents and process) is recognized as a copyrighted, proprietary function of The Consortium and may not be used for personal or professional gain outside of the terms of this Agreement without prior agreement.
IV. Term of Agreement
The Consortium shall return the final results of the Equity Variables Test within two (2) business days. The User then has 6 months from the time of receipt to receive the $100 off the cost of the Equity Factors Assessment and Referral (optional).
V. Disclosure of Proprietary and Confidential Information
A. Of The Equity Consortium: User agrees that at no time (either during or subsequent to the term of this Agreement) will User disclose or use, except in pursuit of the business of The Equity Consortium or any of their subsidiaries or affiliates (collectively “Consortium”), any Proprietary and Confidential Information belonging to Consortium acquired during the term of this Agreement. The term “Proprietary and Confidential Information” shall mean, but is not limited to: all information which is known or intended to be known only to Consortium or others in a confidential relationship with Consortium including any document, trade secrets, proprietary know-how, and account information.
B. Of the User: The Consortium acknowledges that it does business with organizations that supply The Consortium with information of a confidential nature, and that The Consortium has contractual obligations to preserve the confidential nature of such information. Affiliates of The Consortium agree to treat any information received from User as proprietary and confidential, as if it were the Proprietary and Confidential Information of The Consortium.
C. Exceptions:
A. Evaluation of Equity Variables Test
- The Equity Consortium (“Consortium”) shall contract an individual (“Evaluator”) with a minimum of 5 years experience to evaluate the completed Equity Variables Test (“Test”) as completed by the User (“User”).
- Evaluators are not obligated to contact the User at any point during their term of service; all information to be evaluated shall be provided in the Test results.

- The restrictions on disclosure contained shall not apply to any Proprietary and Confidential Information that:
- is a matter of public knowledge or prior personal knowledge (from a source other than a party to this Agreement or its affiliate),
- is independently developed by a person not a party to this Agreement without the use, directly or indirectly, of Proprietary and Confidential Information, or
- is required by law or the order of any court or governmental agency, or in any litigation or similar proceeding to be disclosed; provided that the disclosing party shall, prior to making any such required disclosure, notify the other party with sufficient notice to permit that party to seek an appropriate protective order.
